Sempra Completes Sale of Non-Controlling Interest in Sempra Infrastructure Partners
Closing sale of 10% non-controlling equity interest in Sempra Infrastructure Partners to subsidiary of Abu Dhabi Investment Authority for $1.73 billion Generating additional capital to fund record $36 billion capital plan SAN DIEGO, June 1, 2022 /PRNewswire/ -- Sempra (NYSE: SRE) (BMV: SRE) today announced that it has completed the sale of a 10% non-controlling interest in Sempra Infrastructure Partners (Sempra Infrastructure) for $1.73 billion in cash to a subsidiary of Abu Dhabi Investment Authority (ADIA). The transaction, previously announced in December 2021, implies an enterprise value for Sempra Infrastructure of $25.9 billion, including its proportionate ownership share of net debt of approximately $8.6 billion. With the closing of the referenced transaction, Sempra now owns a 70% controlling stake in Sempra Infrastructure, and KKR and ADIA own a 20% and 10% non-controlling interest, respectively. "The completion of this transaction marks an exciting milestone for Sempra Infrastructure as we work to advance energy security and provide lower-carbon and net-zero energy solutions to customers in North America and around the world," said Jeffrey W. Sempra Infrastructure and RWE Sign Heads of Agreement for U.S. LNG Supply
Contemplates terms for sale and purchase agreement for 2.25 Mtpa of LNG with a leading German energy company Advances goal of providing lower-carbon U.S. LNG to global partners DAVOS, Switzerland, May 25, 2022 /PRNewswire/ -- Sempra Infrastructure, a subsidiary of Sempra (NYSE: SRE) (BMV: SRE), today announced it has entered into a heads of agreement (HOA) with RWE Supply & Trading, a subsidiary of RWE (RWE: AG), for the purchase of approximately 2.25 million tonnes per annum (Mtpa) of liquefied natural gas (LNG). The LNG is to be supplied on a long-term, free-on-board basis from the Port Arthur LNG Phase 1 project under development in Jefferson County, Texas. "Sempra Infrastructure's LNG projects are uniquely positioned to help provide U.S. LNG to support the energy security of America's allies in Europe, while also accelerating the transition to a lower carbon future. We are excited about the opportunity to work with one of Germany's top power producers to achieve these dual goals," said Justin Bird, CEO of Sempra Infrastructure. "We see opportunities to work together with RWE across the energy transition, including LNG, hydrogen and renewables. With today's agreement, we make significant progress toward the development of our Port Arthur LNG project and remain committed to lowering greenhouse gas (GHG) emissions across the LNG value chain through the use of new technologies and the improvement of key processes." The HOA contemplates the negotiation and finalization of a definitive 15-year LNG sale and purchase agreement for 2.25 Mtpa to be delivered from the Port Arthur LNG project. Additionally, Sempra Infrastructure and RWE have agreed to work toward a broad framework for the reduction, mitigation, and reporting of GHG emissions associated with deliveries of LNG from the Port Arthur LNG project, including addressing the use of responsibly sourced natural gas as part of the project's feed gas supply and renewable energy as part of the project power mix. Phase 1 of the Port Arthur LNG project is fully permitted and is expected to include two liquefaction trains and LNG storage tanks, as well as associated facilities capable of producing, under optimal conditions, up to approximately 13.5 Mtpa of LNG. The referenced HOAs are preliminary, non-binding arrangements, and the development of the Port Arthur LNG project remains subject to a number of risks and uncertainties, including, among others, reaching definitive agreements, maintaining all necessary permits, finalizing engineering and construction arrangements, obtaining financing and incentives, and reaching a final investment decision. Advancing Lower Carbon LNG with Global Partners Sempra Infrastructure is one of the top renewable energy producers in Mexico and is currently exceeding its goal of operating its existing LNG infrastructure at a GHG emissions intensity that is 20% below its 2020 baseline, having achieved a 28% reduction in 2021. In addition to continuing to reduce emissions through operational excellence, Sempra Infrastructure is actively developing lower emissions technologies for existing and future infrastructure assets. Sempra Infrastructure has entered into a memorandum of understanding with Entergy Louisiana, a subsidiary of Entergy Corporation (NYSE: ETR), to develop options to accelerate the deployment of cost-effective renewable energy to power its infrastructure located in vicinity of the Gulf Coast. Sempra Infrastructure Signs Participation Agreement with TotalEnergies, Mitsui, Mitsubishi for Carbon Sequestration Project in Louisiana
Cameron LNG expected to serve as anchor customer Application for injection well to store up to 2 Mtpa of CO2 filed last year HOUSTON, May 23, 2022 /PRNewswire/ -- Sempra Infrastructure, a subsidiary of Sempra (NYSE: SRE) (BMV: SRE), today announced it has signed a participation agreement with TotalEnergies, Mitsui & Co., Ltd. and Mitsubishi Corporation for the development of the proposed Hackberry Carbon Sequestration (HCS) project in Southwest Louisiana. The participation agreement contemplates that the combined Cameron LNG Phase 1 and proposed Phase 2 export projects would potentially serve as the anchor source for the capture and sequestration of carbon dioxide (CO2) by the HCS project. It also provides the basis for the parties to enter into a joint venture with Sempra Infrastructure for the HCS project. "We are excited to advance the development of the Hackberry Carbon Sequestration project, the first of Sempra Infrastructure's net zero solutions projects, to help Cameron LNG produce cleaner liquefied natural gas (LNG) for its customers," said Justin Bird, CEO of Sempra Infrastructure. SDG&E Files Required Budget Proposal With Regulators, Seeks To Empower Clean Energy Future By Investing In Infrastructure Innovations
Safeguarding energy reliability against growing climate threats and building a clean energy future aligned with regional and state climate goals are the driving forces behind the 2024-2027 budget proposal that San Diego Gas & Electric filed yesterday with the California Public Utilities Commission (CPUC). Every four years, regulated utilities in the state are required to file what are formally known as general rate cases (GRC) outlining their capital investments and forecasted costs for operations and maintenance. (Download B Roll Here) In addition to maintaining high safety and reliability standards, SDG&E’s GRC also supports regional plans to reduce emissions, and the State of California’s goal to achieve carbon neutrality by 2045. “Average electric bills at our company are the lowest among California’s electric investor-owned utilities, but we also recognize this is a difficult time to ask our customers to pay more given the state of the economy and inflationary pressures and are mindful of every dollar that we ask our customers to pay. Given the changes in climate and the growing need for a clean energy future, this will ultimately result in improvements that create long-term benefits now and for future generations,” SDG&E President Bruce Folkmann said. “The budget proposal we put forth represents the conscientious efforts of hundreds of SDG&E employees to strike the right balance between holding down costs and making the infrastructure investments needed for a clean energy future.” According to a recent study conducted by SDG&E titled The Path to Net Zero: A Decarbonization Roadmap for California, electrification of buildings and vehicles is crucial for California to become carbon neutral. The analysis indicates electricity consumption in the state could nearly double by 2045. Meeting this increased demand will require a significant expansion of the power grid to both meet emissions reduction targets while also maintaining grid reliability. All general rate cases are open and transparent proceedings conducted before the CPUC, involving extensive comments from customers, stakeholders and public interest advocates. Major Investments Outlined in the Budget Proposal Expand, operate and maintain electric vehicle (EV) charging infrastructure throughout the region, given all passenger vehicle sales in California are required to be zero-emission by 2035, followed by the requirement that all medium and heavy-duty vehicle sales are to be zero-emission by 2045, where feasible. Modernize the electric grid with cutting-edge technology to enable the integration of significantly more solar and wind generation, residential and commercial-scale battery storage, EV charging, and customer transition from natural gas to electric appliances. Install more utility-scale battery systems at strategic locations to maximize the use of solar energy, which is often curtailed in the middle of the day because there is more supply than demand, and to support reliable service during periods of high energy demand, such as extremely hot summer days. Develop additional clean fuel sources, such as green hydrogen for transportation and electric generation with the goal of supporting greater electrification. Reduce wildfire risk and minimize Public Safety Power Shutoffs by hardening 590 miles of power lines between 2022 and 2024, either by burying them underground or insulating them. Cut the risk for power outages by adopting grid automation and remote sensing tools and replacing aging or failure-prone equipment, such as underground Tee connectors and corroded overhead switches. Give customers more control, access and insights into their energy usage by implementing the next generation of smart meters. Upgrade microgrids with zero-emissions energy resources (i.e., battery storage) to keep vulnerable communities and critical resources, such as healthcare and CALFIRE facilities, powered during Public Safety Power Shutoffs. Strengthen cybersecurity and technology infrastructure to address the risk of ever-changing security threats that could potentially disrupt business operations and place customer and employee health and safety at risk. These upgrades also will help secure customer data to meet stronger privacy regulations. Accelerate the replacement of aging plastic natural gas pipelines to improve safety and reliability and reduce methane emissions. If SDG&E’s rate case is approved as submitted, the average residential customer could expect a monthly electric bill increase of about $9 compared to 2023, and a monthly natural gas bill increase of about $9.60 compared to 2023. SoCalGas Submits 2024-2027 Rate Request to Invest in Infrastructure Reliability and Resiliency, Furthering California's Clean Energy Goals
Company's Rate Request Submitted to California Public Utilities Commission LOS ANGELES, May 17, 2022 /PRNewswire/ -- To provide reliable and safe gas delivery to the company's 22 million residential and commercial consumers and to support a reliable, resilient and increasingly interdependent and clean gas and electric energy system, Southern California Gas Co. (SoCalGas ) submitted its 2024-2027 General Rate Case (GRC ) yesterday to the California Public Utilities Commission (CPUC ), as required by law. The application is SoCalGas ' forecast of infrastructure investments that support innovation as well as costs for essential operation and maintenance of the gas system and will support SoCalGas ' ongoing efforts to build the cleanest, safest and most innovative energy company in America. "SoCalGas files this GRC during a time of transformative change," said SoCalGas President Maryam Brown. "Events in California and around the world have shown us that maintaining the safety, reliability, and affordability of our local energy systems remain critically important. General Rate Case Process SoCalGas and other investor-owned utilities in California file General Rate Case applications with the CPUC every four years. The CPUC oversees the proceedings, which include numerous regulatory and public hearings with testimony from ratepayer advocates, environmental groups, and others.
